These Terms constitute a legally binding agreement between you ("Customer," "User," or "you") and Devkart Technologies LLP ("SuperApp," "we," "us," or "our").
This Agreement Covers:
- Use of our white-label multi-vertical marketplace platform
- Access to business modules (Food, Retail, Supermarkets, etc.)
- Mobile and web applications for customers and partners
- Dashboard, analytics, and management tools
- Payment processing and transaction services
- Customer support and technical assistance
- Integration services and custom development
- Your rights, responsibilities, and obligations
If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.
2. Service Description
SuperApp provides a comprehensive white-label multi-vertical marketplace platform designed to support multiple business types on one unified system. Our platform enables you to create and manage your own branded marketplace experience across various business verticals.

- Secure payment processing with multiple gateways

- Complete brand customization and white-labeling
- Customer loyalty and rewards programs
- Marketing automation and promotional tools

- Technical support and maintenance

Service Availability
While we strive for 99.9% uptime, services may occasionally be unavailable due to maintenance, updates, or unforeseen circumstances. We will provide advance notice when possible and work to minimize any disruption.
3. Account Registration & Management
To access our services, you must create an account and provide accurate, complete information about your business operations.
Registration Requirements:
- Valid business registration and licensing information
- Accurate contact details including email and phone number
- Current business address and operational details
- Authorized representative information
- Payment method and billing information
- Compliance with local business and industry regulations
- Verification of business legitimacy and operational status
Account Security Responsibilities:
- Maintain confidentiality of login credentials and access tokens
- Use strong passwords and enable two-factor authentication
- Immediately report any unauthorized access or security breaches
- Regularly update account information and contact details
- Accept full responsibility for all activities under your account
- Ensure staff members have appropriate access levels
4. Subscription & Payment Terms
Per-Order Pricing Model:
- Starter: $0.25 per order (up to 5,000 orders/month)
- Growth: $0.15 per order (5,000-25,000 orders/month)
- Enterprise: $0.10 per order (25,000+ orders/month)
- Zero commission on transactions
- Unlimited customers and locations
- All features included in base pricing
- 14-day free trial for new accounts
Payment Terms:
- Monthly billing based on successful orders processed
- Payment due within 30 days of invoice date
- Accepted payment methods: Credit/debit cards, ACH, wire transfer
- Late payments may result in service suspension
- 30-day advance notice for pricing changes
- Refunds subject to our Refund Policy
- Currency: USD (other currencies available upon request)
Additional Services (When Applicable):
- Custom Development: Quoted separately based on scope and requirements
- Premium Integrations: Third-party service fees may apply
- Additional Training: Beyond standard onboarding package
5. User Responsibilities & Acceptable Use
As a SuperApp customer, you agree to use our services responsibly and in compliance with all applicable laws and regulations.
You Agree To:
- Provide accurate product/service information, pricing, and availability
- Maintain appropriate business standards and licensing
- Process orders promptly and professionally
- Protect customer data and privacy in accordance with applicable laws
- Use the platform only for legitimate business operations
- Comply with local laws, regulations, and tax requirements
- Maintain appropriate insurance coverage for your business
- Provide timely customer service and order fulfillment
- Report any security incidents or data breaches immediately
Prohibited Activities:
- Fraudulent or deceptive business practices
- Violation of industry regulations or safety standards
- Unauthorized access to other accounts or data
- Reverse engineering or copying our software
- Spamming or unsolicited marketing communications
- Activities that could harm our reputation or services
- Circumventing security measures or access controls
- Using the platform for illegal or harmful purposes
- Competing directly with SuperApp using our platform
6. Intellectual Property Rights
SuperApp Owns:
- Platform software and source code
- SuperApp trademarks and branding
- System architecture and algorithms
- Documentation and training materials
- Analytics and reporting tools
- API and integration technologies
- Database structures and schemas
- Proprietary business logic and processes
You Retain Rights To:
- Your business name and branding
- Product/service content and descriptions
- Customer data and relationships
- Marketing materials and content
- Business processes and operations
- Custom content you create
- Trade secrets and proprietary information
- Customer reviews and feedback
License Grant:
We grant you a limited, non-exclusive, non-transferable license to use our platform during your subscription period. This license automatically terminates upon account cancellation or suspension.
You grant us a limited license to use your branding and content solely for the purpose of providing our services and creating your white-label applications.
7. Privacy & Data Protection
We are committed to protecting your privacy and the privacy of your customers. Our data handling practices are governed by our Privacy Policy and applicable data protection laws.
Data Security Measures:
- End-to-end encryption for sensitive data
- Regular security audits and penetration testing
- PCI DSS-compliant payment processing
- GDPR and CCPA compliance
- Secure data centers with 24/7 monitoring
- Multi-factor authentication and access controls
- Regular backup and disaster recovery procedures
Your Data Rights:
- You own your customer data
- Data portability upon request
- Right to data deletion
- Access to data processing records
- Control over data sharing preferences
- Regular data backups and recovery
- Transparent data usage reporting
- Compliance with local data protection laws
Important: You are responsible for obtaining proper consent from your customers for data collection and processing. We provide tools to help you comply with privacy regulations, but ultimate compliance responsibility rests with you as the data controller.
8. Limitation of Liability & Disclaimers
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Data loss or corruption not caused by our negligence
- Service interruptions or downtime beyond our control
- Third-party actions or integrations
- Force majeure events beyond our reasonable control
- Customer disputes or chargebacks
- Regulatory changes affecting your business
Service Level Agreement:
- Availability: Commercially reasonable efforts to maximize uptime (excluding scheduled maintenance)
- Support Response: 24 hours for standard issues, 4 hours for critical issues
9. Termination
You May Terminate:
- At any time with 30 days written notice
- No cancellation fees or penalties
- Access continues until billing period ends
- Data export available for 90 days
- Prorated refunds for unused services
We May Terminate For:
- Material violation of these Terms
- Non-payment of fees after 30 days notice
- Illegal or harmful activities
- Breach of security policies
- Insolvency or bankruptcy proceedings
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of Tamil Nadu, India. Any disputes will be resolved through binding arbitration in Gobichettipalayam, Tamil Nadu, or through competent courts in that jurisdiction.
Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation for a period of 60 days.
11. Changes to Terms
We may modify these Terms at any time to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated via email and posted on our website at least 30 days before taking effect.
Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
